Terms of Service

These Terms of Service ("Terms") govern your access to and use of FedOptic (the "Service"). In these Terms, "FedOptic," "we," "us," and "our" refer to the company that provides the Service (identified in Section 18). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

If you do not agree, do not use the Service.

1. Acceptance

By clicking "I agree" on the signup form, by paying a subscription fee, or by accessing the Service, you accept these Terms and our Privacy Policy. We may update these Terms as described in Section 13.

2. Eligibility

To use the Service you must be at least 18 years old, located in the United States, and not on any U.S. government sanctions, denied-party, or export-control list. The Service is intended for business users engaged in federal procurement, federal business development, or related professional activity. We may refuse or terminate accounts that do not meet these criteria at our sole discretion.

3. Accounts

  • One account per person. Account sharing is not permitted. Paid plans are licensed per individual user.
  • You are responsible for keeping your password confidential and for activity under your account. Notify us immediately at support@fedoptic.com if you suspect unauthorized use.
  • Demo ("free") accounts are trials intended to let you evaluate the Service. We may limit demo-account features (for example, cap the number of pipeline entries or favorites) and may revoke demo access at any time.
  • We may suspend or terminate accounts that violate these Terms, engage in fraudulent behavior, or impose an unreasonable load on our systems.

4. Subscriptions and Billing

  • Fees. FedOptic is offered on a paid subscription basis. The subscription fees, the available billing periods (for example, monthly or annual), and any current promotions are those displayed on our website and presented to you at checkout at the time you subscribe. By subscribing, you agree to pay the fees then in effect for the plan and billing period you select.
  • Payment processor. Payments are processed by Stripe, Inc. We do not store your full card number; we retain only limited information (such as the last four digits and a payment token) needed to manage your subscription. Your payment is also subject to Stripe's terms and privacy policy.
  • Affirmative consent. Before your first charge, we present the price, the billing period, the fact that the subscription automatically renews, and how to cancel, and you must affirmatively agree to those terms. We keep a record of your consent.
  • Auto-renewal. Your subscription automatically renews at the end of each billing period, at the then-current price for your plan, using the payment method on file, until you cancel.
  • Annual reminder. At least once each year, we will email you a reminder that identifies your subscription, the amount and frequency of the charges, and how to cancel.
  • Price changes. If we change the price of your plan, we will email you a clear notice of the new price and how to cancel between 7 and 30 days before the change takes effect. The new price applies at your next renewal on or after the effective date.
  • Taxes (if any) are your responsibility.

5. Cancellation and Refunds

  • You may cancel at any time online from your account settings — the same way you signed up — or by emailing support@fedoptic.com. We will not place unreasonable obstacles in the way of cancellation.
  • Cancellation stops future renewals. We will not charge you after a valid cancellation. Your access continues through the end of the current paid billing period, after which your account reverts to the demo tier.
  • Your data (notes, favorites, pipeline statuses, saved searches) is retained while your account remains — see our Privacy Policy for retention periods after account deletion.
  • Refunds. Subscription fees are non-refundable except where required by law or as we may agree in our discretion (for example, a duplicate charge or other billing error). Cancelling stops future renewals but does not by itself refund the current billing period; you keep access until it ends. For billing questions, email support@fedoptic.com.

6. Acceptable Use

You agree not to:

  • Use the Service to scrape, mirror, or rebuild a competing dataset. You may export your own notes and pipeline data for your own use.
  • Resell, relicense, or republish data obtained through the Service except for your internal business purposes.
  • Share individual accounts across a team; buy a license per user.
  • Attempt to bypass rate limits, demo-tier gates, or authentication.
  • Upload content that is illegal, infringing, defamatory, or that contains malware or executable code.
  • Use the Service in any way that would violate U.S. export-control or sanctions laws.

Rate limits: Read endpoints are not rate-limited for paid users under normal use. Authentication endpoints are limited to deter credential-stuffing. If you need programmatic access beyond normal use, contact us.

7. Data, Sources, and Ownership

  • Public data. The Service aggregates publicly available data obtained from official U.S. government sources (such as SAM.gov and USAspending.gov) and from agency forecast publications. We obtain that data through those sources' official channels and use it subject to those sources' terms. Some third-party data may carry attribution or use restrictions, which we honor. The underlying public data is public; our classifications, excerpts, and enrichments are our work product.
  • Your data. Your notes, favorites, saved searches, and pipeline statuses belong to you. We do not claim ownership of content you create in the Service. You grant us a license to store and process that content solely to operate the Service for you.
  • Licensed output. You may share individual opportunity detail pages via the public share feature, and you may cite or screenshot Service output for your internal business use or pitch materials. You may not redistribute the Service's AI classifications or document extractions as a standalone dataset.

8. Intellectual Property

The Service, including its software, design, content, and trademarks, is our property or licensed to us. Nothing in these Terms transfers ownership of the Service to you. You may not copy, modify, reverse-engineer, or create derivative works of the Service.

9. No Government Affiliation

FedOptic is an independent commercial service. We are not affiliated with, endorsed by, or sponsored by the U.S. government or any federal agency. References to agencies, solicitations, and awards are for identification only.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The Service relies on public data sources and automated classification. Classifications and other outputs are generated by automated systems and may be incomplete, inaccurate, or out of date, and results vary. The Service is informational only and is not legal, financial, or procurement advice. You are responsible for your own bid/no-bid, pricing, and contract-strategy decisions; do not rely solely on the Service to make them.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

Our aggregate liability for all claims arising out of or relating to the Service is limited to the amount you paid us in the 12 months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the greatest extent permitted by law. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnification

You agree to indemnify and hold harmless FedOptic and its owner, members, and personnel from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Service, your violation of these Terms or applicable law, or content you submit through the Service.

13. Dispute Resolution; Arbitration; Class Waiver

  • Informal resolution first. Before starting a formal proceeding, please email support@fedoptic.com and give us 30 days to try to resolve the matter.
  • Binding arbitration. If we cannot resolve it, you and we agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single arbitrator. The arbitration will be seated in Orange County, California, or, at your election, in the county where you reside, or conducted by video or telephone. The Federal Arbitration Act governs the interpretation and enforcement of this section.
  • Arbitration fees. We will pay arbitration filing and arbitrator fees to the extent required by the applicable arbitration rules or by law; otherwise those fees are allocated under the applicable rules.
  • Exceptions. Either party may (a) bring an individual claim in small-claims court, and (b) seek injunctive or other equitable relief in court to protect intellectual-property or confidential-information rights. Nothing in these Terms prevents you from reporting concerns to, or seeking relief from, a government agency.
  • Class-action waiver. You and we agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding.
  • 30-day opt-out. You may opt out of this arbitration agreement by emailing support@fedoptic.com within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. Opting out will not affect any other part of these Terms.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs Section 13. Subject to Section 13, the state and federal courts located in Orange County, California have exclusive jurisdiction over any matter not subject to arbitration.

15. Changes to These Terms

We may modify these Terms from time to time. For material changes, we will give registered users at least 30 days' advance notice by email and post the updated Terms at the same URL; the changes take effect on the date stated in the notice, and your continued use after that date is acceptance. For material changes to fees or to Section 13 (arbitration), we will ask you to affirmatively accept the change or give you the opportunity to cancel before it applies to you. Non-material changes (typo fixes, URL updates, clarifying wording) take effect when posted.

16. Termination

We may suspend or terminate your access for violation of these Terms, fraudulent behavior, non-payment, or as required by law. On termination, Sections 7–14 and 17 survive.

17. General

  • Severability. If any provision of these Terms is held unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force.
  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede any prior agreements on that subject.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control.
  • Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Notices. We may provide notices to you by email or by posting on the Service. You may send notices to us at support@fedoptic.com.
